Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the products and services provided by Goippro LLC, a Delaware limited liability company with its registered office at 800 N King Street, Suite 304-1900, Wilmington, DE 19801, United States ("GoIPpro", "we", "us", "our"). By accessing our platform, signing a service agreement, or using our services, you ("Customer", "you") agree to be bound by these Terms.

2. Services

GoIPpro provides a business-to-business platform for voice traffic aggregation and AI-powered contact center services. Our services include, without limitation, voice infrastructure, AI conversational agents, human-agent handover workflows, multi-language support, and related integration and operational services, all as further described on our website and in individual service agreements.

3. Eligibility and Acceptable Use

Our services are intended for legitimate business use only. You agree that you will not use our services:

• For any unlawful purpose, or to violate any applicable law or regulation in your jurisdiction or ours;
• To transmit unsolicited communications, spam, or communications that would violate applicable anti-spam or consumer-protection laws (including TCPA in the United States);
• To impersonate any person or entity, or to misrepresent your affiliation with any person or entity;
• To conduct activities that would result in inclusion on OFAC sanctions lists, or to provide services to sanctioned jurisdictions or entities;
• To harass, threaten, defame, or engage in fraudulent conduct with respect to any third party;
• To interfere with or disrupt our systems, infrastructure, or the services of third-party operators we work with.

4. Commercial Terms

Pricing, billing models, and payment terms are set forth in individual service agreements. Unless otherwise agreed in writing, invoices are issued monthly, denominated in US Dollars or Euros, and payable within thirty (30) days via bank wire transfer. Late payments may result in suspension of services.

5. Data and Privacy

Your use of our services is also governed by our Privacy Policy. We process voice data, call transcripts, and customer information strictly in accordance with applicable data protection law (including GDPR and CCPA where applicable) and our agreed data processing terms.

6. Intellectual Property

All platform software, documentation, models, methodologies, and related intellectual property are and remain the property of GoIPpro or its licensors. You are granted a limited, non-exclusive, non-transferable license to use our services solely for your internal business purposes during the term of your service agreement.

7. Service Level

GoIPpro commits to commercially reasonable efforts to maintain platform availability of 99.9% measured monthly, excluding scheduled maintenance. Specific service level commitments and remedies are set forth in individual service agreements.

8. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the services shall not exceed the fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to liability. We shall not be liable for indirect, incidental, consequential, special, or punitive damages.

9. Termination

Either party may terminate a service agreement for material breach that remains uncured for thirty (30) days after written notice, or at the end of a committed term. Upon termination, we will provide reasonable assistance in migrating your data, subject to our data retention policies.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes will be resolved in the courts of Delaware, unless otherwise agreed in writing.
